• 1. Definitions Community Rules: Set of behavioral norms applicable in the Residence, and mandatory for the Resident, as listed in Annex I. Agreement: means this Student Housing Agreement including its Annexes and the Particular and General Conditions, and which is entered into by La Fabrica &Co and the Resident. Instalments: regular calendar payments corresponding to the Housing Fee, as set out in the Particular Conditions. Check-in: shall mean the delivery of the code/door entry card of the Room assigned and complementary documentation to provide the access to the Room. End Date: shall mean the date of termination of the Student Housing Agreement. Signature Date: is the date of signature and formalization of the Agreement and shall be indicated in the heading. Start Date and Check-out: date from which the Resident is allowed to enter the Residence, and the date on which will have to vacate the Room and leave the Residence. Deposit: amount used as security to cover any damage or loss incurred by the Resident in the Room, Common Areas, Inventory or Residence in general, or to cover any other breach of the obligations included in this Agreement involving damage or non- payment. Room: means the room assigned to the Resident. Booking Fee: means the administrative fee due at the booking process to secure the reservation of the Room. This amount is not reimbursable, except in cases included in the Cancellation and Refund Policy. Further details are available at www.lafabrica-co.com. Housing Fee: is the total price to be paid according to the room category, as indicated in the Particular Conditions. Inventory: The furniture, items and equipment of the Room, included as well as all other belongings and furnishings that may be found in the room, as indicated in the inventory document provided to the Resident at the Start Date. Website: shall mean the URL of the residence www.lafabrica-co.com. Agreed Period: means the period stated in the Particular Conditions of this Agreement, from the Start Date to the End Date, during which the Resident will be able to use the Room. Resident Portal: tool within the Website that is placed at the Resident’s disposition, free of charge, in order to view notificaciones or special communications. Price: means any payment to be made by the Resident, including, without limitation, the Booking Fee, Deposit and Housing Fee. Residence: the building intended for the Resident’ accommodation, as set out in the Particular Conditions. Resident: The resident equals an individual that must be enrolled in an educational institution that occupies the majority of their time, can also be a researcher or any other person associated with the academic/educational field who will be staying in the assigned room of the Residence, as determined in the Specific Conditions of the Contract. (The guest must proof the student condition). Services: shall include all those services detailed in the description of the Room on the Website, where applicable, and those additionally contracted. Booking Type: it refers to the type of contract that the Resident has contracted, with a specific duration and services. Common Areas: all those parts of the Residence which are intended to be used in common with other users, including but not limited to corridors, stairwells, lifts, game rooms, resident lounge, roof terraces, as well as other areas which, where appropriate, are subject to specific rules of use. Coworking: The coworking space is not covered by the resident’s rent. This is an additional service that may be offered for a fee. This section will not be accessible to the resident. 2. Object The Agreement regulates the terms and conditions under which the Resident, whenever maintaining the student status, the payments are paid in due time and the contract in force, may stay in the Room, during the Agreed Period in the Residence. The Resident will also be able to enjoy the accessory Services, courtesy of the Residence and those additionally contracted, as provided as the Resident is up to date with the payments, complies with the agreements and is not sanctioned for committing any of the breaches of the disciplinary regime. 3. Types of reservation The residence offers two types of stays exclusively for enrolled students: a) Short Stay (Only on Available Dates): Catering short-term accommodation needs. Nightly fees will de defined according to the selected stay dates. Date extensions might require a change in the booking type conditions, which may involve the payment of enrollment and deposit fees. b) Long Stay: This is the general contract type refers to stays of 28 días or more. This type of reservation requires a security deposit equivalent to one month’s fee. 4. Groups All the following scenarios are considered group stays, which requires a different handling than individual student stays: A residence stay comprising ten (10) or more rooms. A residence extended stay comprising five (5) or more rooms. A residence student stay comprising five (5) or more rooms (exclusively for student guests). A Group Booking can only be arranged through La Fabrica &Co’s reservations department (e.g., via telephone or email at sales@lafabrica-co.com). La Fabrica &Co will furnish the Contracting Party with a Group Booking agreement reflecting the Booking Details. Upon receiving a signed copy of the Group Booking Agreement from the Contracting Party, La Fabrica &Co will confirm the Group Booking via email or other written confirmation. 5. Duration of accommodation / term La Fabrica &Co provides, and the The Resident takes the Room and the right to use the Common Areas as per existing regulations, for the Agreed Period at the established Price. The Agreement is effective from the Signature Date to the End Date, and this period is compulsory for the Resident. Termination of the Agreement for any reason does not release either Party from outstanding obligations. The Resident commits to the Agreed Period and all obligations in this Agreement, especially those in the following Section. The Resident, with a minimum written notice of ten (10) days prior to the new date, may request, either an earlier entry to the Residence or to extend the Agreed Period. In both cases the minimum change of term requested will not be less than seven (7) days and in any event, will be subject to the availability in the Residence at the time of the request, the La Fabrica &Co’s approval and the payment of the new amount. In case of approval the Resident shall sign a new Agreement, which will substitute the existing one. Otherwise, the present Agreement shall remain in force. 6. Payment Payment Obligation: The Resident shall pay the Price according to the Particular Conditions, considering the types and modalities of the contract, payment options, price and other established conditions. Payments shall include taxes and the current VAT, and must be paid to formalize the reservation. The available payment methods will be indicated on the Website, although La Fabrica &Co may modify or add methods at any time. Depending on the Type of Agreement, the Resident may pay in Instalments the Housing Fee: Monthly: The Resident will pay the Instalments indicated in the Particular Conditions during the first three (3) calendar days of the corresponding month. Single payment: The Resident will pay the total amount in a single payment following the terms indicated in Point II) of this Clause. In those Types of Agreement in which payment by Instalments is not possible (less than 28 days bookings) the Resident will have to pay the amounts indicated at the time of signing the Agreement. Payment Due Dates: For reservations of 28 nights or less, the client must pay the full nightly rate to confirm the reservation, and this payment must be made before the start date of the stay. For reservations of more than 28 nights or more than 1 month, the Resident must pay the deposit to confirm the reservation and also sign the contract. The accommodation fee will be paid at the beginning of the month in which the reservation starts. The deposit must be paid before the start date of the stay. Installment payments are available for all clients who book for more than 28 days, but each payment must be made in full on the requested date. The client must pay the amount corresponding to the current month by the 3rd of each month at the latest. 7. Deposit The security deposit is equivalent to one (01) month of the client’s booking. Bookings of less than 28 days do not require a security deposit. For bookings of 28 nights or more the security deposit will be required. The Deposit will be retained as a guarantee for damages to the Room, Common Areas, non-payments or any other unpaid charge during the Agreed Period due to breach of obligations. In the event of non-payment of Instalments, a letter will be sent with a charge of thirty euros (30€). If the deadline indicated in Section 7.a.(d) is not met, the Deposit may be used, legal action may be taken and the Agreement may be terminated. The costs of this procedure will be added to the outstanding amount to be paid. The Resident must replenish the Deposit used to cover non-payments or damages and may not use it to cover monthly payments. The Deposit, less the costs for damages, losses or non-payments, will be returned to the Resident. The refund will be made as soon as possible, using the same payment method, after inspecting the Room on the Check-Out Date, and within a maximum of 45 days from the termination of the Agreement. 8. Cancellation & Withdrawal Policy Long stays (28 nights or more) Residents may exercise their right of withdrawal to terminate the contract without justification or penalty under the following conditions: If the reservation was confirmed more than 14 days before the start date, the right of withdrawal may be exercised within 14 days from signing the contract, and never with less than 7 days’ notice prior to the start of the stay. If the reservation was confirmed with less than 14 days’ notice prior to the start date, the right of withdrawal may be exercised up to 7 days before the start of the stay. Withdrawal within these timeframes guarantees a full refund of the deposit, enrollment fee, and any amounts paid. If the resident does not exercise this right within the established timeframes, no refund will be issued, and the resident must comply with the contract for the agreed period. To exercise the withdrawal, a written statement together with a copy of the ID card or passport must be sent to hola@lafabrica-co.com. Short stays (less than 28 nights) For stays of less than 28 nights, cancellations made with a minimum of 14 days’ notice before the start date will receive a 100% refund of the prepaid amount. If the cancellation is made between 14 and 7 days prior to the start date, 50% of the prepaid amount will be refunded. Cancellations made with less than 7 days’ notice will not be eligible for a refund. 9. Termination of agreement 9.1) End Date The Agreement ends at Check-out or earlier if there are breaches. The Resident must vacate the Room and Residence on the specified date, per the Particular Conditions. La Fabrica &Co will inspect the Room and Inventory as stated in Section 8. Causes for early termination: 9.1.a) Termination due to Resident’s fault: Breach of any Agreement obligation or Community Rules Legal grounds for repossession of the Room Loss of required status per Section 2, with continued payment obligations Non-payment of any Instalment within ten (10) days of due date Bankruptcy or appointment of an interim receiver If the Agreement is terminated, the Resident must leave the Room and Residence immediately. Termination does not release the Resident from outstanding obligations or La Fabrica &Co’s right to compensation for damages and legal actions. If terminated, the Resident must pay for the remaining months up to a maximum of three months of the Housing Fee. If the Resident does not vacate the Room, they will pay a daily penalty of 300€, in addition to the termination penalty. 9.1.b) Early termination by the Resident Before the contract Start Date: (i) The Resident may cancel if not admitted to the university or institution, providing evidence. (ii) The visa application is denied. In these cases, amounts paid will be refunded. 9.1.c) After the Agreement starts: The Resident can cancel if: Finds an approved replacement under the same terms until the end of the Agreement; or Pays 50% of the remaining amount of the Agreement as compensation. This penalty ranges from one (1) to three (3) months of the Housing Fee. Advance payments are non-refundable if the Resident terminates the Contract early. 9.1.d) Other cases: If La Fabrica &Co cannot provide the contracted room due to operational issues, the Resident may be relocated to a similar accommodation. If unavailable or refused, La Fabrica &Co will terminate the contract and refund the Resident without further compensation. 10. Inspection on check-out date The Resident will arrange a suitable date with the staff of La Fabrica &Co for an inspection of the Room at the Check-out. La Fabrica &Co staff will note any comments regarding the condition of the Room and the Inventory, and additional charges will be applied where applicable to the Deposit for losses, damage or due to the state and condition of the Room. La Fabrica &Co will notify the Resident the corresponding deductions to be made from the Deposit, if any. If on the Check Out date the Resident has not previously arranged for the inspection of the Room and leaves the Residence, La Fabrica &Co may apply the deductions it deems appropriate to the Deposit for the damage that finds. 11. At contract termination / upon termination of the agreement La Fabrica &Co will not assume any liability for the safekeeping of any belongings left by the Resident, either in the Room or the Common Areas, at the Check-out. The Resident will hand over all door entry cards, or any other access devices of the Room and the Residence to La Fabrica &Co by 10 a.m. on the Check-Out (howsoever ended). Despite not being handed over, the contract will be deemed to be terminated and the Resident assumed thereafter to have given up the right to occupy the Room. For clarification purposes, it is expressly stated that if any of the Resident’s belonging still remained in the Room at the expiry of the Agreed Period, it shall not be considered as physically occupied by the Residence. 12. Access to La Fabrica &Co The Resident will permit La Fabrica &Co, together with any necessary contractors and workmen, to enter the Room at any reasonable time upon 24 hours’ prior notice (or in the event of an emergency at any time without notice) in order to: Carry out the Services under this Agreement; Show the accommodation to prospective new clients; Examine the conditions of the Room and the Inventory. Carry out repairs, housekeeping or any other services required of the Room or the Residence that is necessary under the Agreement or for any reasonable purpose in connection with the management of the Residence. The La Fabrica &Co team will endeavour to give the Resident the prior notice indicated. If Resident reports a maintenance issue, will be asked whether the maintenance technician may access the Room in the event the Resident were not there. 13. Obligations of La Fabrica &Co Allow the Resident to quietly possess and enjoy the Room and Common Areas provided that the requirements of Section 2 are met, whenever possible for reasons of safety and health; Carry out the necessary suitability- for-use repairs for the proper use of the facilities. This could include the structural damages, the exterior areas, plumbing, sanitary convenience and installations such as electrical and gas piping. Should the damages be caused by the Resident, La Fabrica &Co will charge the cost to the Resident; Be compliant with all applicable legislation which is subject and insure the Residence. Have the Room equipped, at the beginning of the Agreed Period, with the appropriate Inventory; Carry out the necessary interventions and/or accesses to the Room and/or Common Areas to guarantee the security of the Residence. For technical, maintenance, organisational reasons, as well as to ensure the health and safety of all our residents, visitors and employees, some areas may be closed or the Services may be interrupted, and no refund will be made for such closures or interruptions, except for those Services that involve an additional charge to the rental. The residency registration process (empadronamiento) is currently being set up. However, it will only be available for residents with bookings of 6 months or longer. 14. Resident's obligations The Resident is obliged to: Provide La Fabrica &Co with proof of student, professor, or educational community status. Failure to comply will result in cancellation of the Room reservation and forfeiture of the Enrollment Fee. If this status is lost during the Agreed Period, it will terminate the Agreement per Section 9.1.(c). Administrative sanctions will be charged to the Resident. Pay on time according to the conditions specified in the Particular Conditions and this Agreement. Comply with the Community Rules and its disciplinary regime, respect other residents and staff, as well as the Room and Residence facilities. Non-compliance may result in service limitations according to the disciplinary regime. Report guests and visitors to La Fabrica &Co and be responsible for them. Inform guests of the Residence rules. Pay fees for guest accommodation. La Fabrica &Co reserves the right to refuse admission to visitors according to applicable law. Only residents with individual bookings are allowed to host an overnight guest. Residents with bookings for two occupants cannot have overnight guests without prior authorization. Not assign, sublet, rent, or allow others to occupy the Room, except for guests and visitors. Immediately report any damages or malfunctions in the Room to La Fabrica &Co. Allow La Fabrica &Co to inspect the premises, Inventory, and Room to determine if the Deposit should be retained for damages or improper conditions, as established in Section 7 and 10. The Resident is responsible for damages caused by them, their visitors, or guests, and will cover the costs of replacing or repairing any damages in the Room, Inventory, or Common Areas. The breach of any of the Resident’s obligations above will allow La Fabrica &Co to terminate the Agreement and, in any event, to claim damages 15. Contract renewal Renewal of the contract is not automatic, and the Resident will have to inform the Residence staff in advance. Although residents wishing to renew their contract will be given priority, the Residence cannot guarantee the availability. Notwithstanding the foregoing, the Residence reserves the right to accept the application for renewal depending on the circumstances that have arisen during the term of the Agreement. The Residence does not guarantee the original rate offer or the application of previous or current promotions to the extension rate. 16. Inventory The Inventory will detail the furniture and belongings in the Room, as well as their state, characteristics, conservation, and replacement cost. Upon moving in, the Resident must verify the Inventory and confirm or make notes to reservas@lafabrica-co.com within 48 hours of arrival. Without objections in this period, it will be understood that the Resident accepts it. If the Resident changes rooms during the Agreed Period, the furniture will be inspected, and a new Inventory must be accepted. The Resident agrees to pay La Fabrica &Co for any missing or damaged furniture and belongings as per Section 7. 17. Losses and theft La Fabrica &Co will not be held responsible for the loss, the damages, the theft of objects, money, etc., that may occur inside the rooms or in any other Common Area of the Residence, as well as for the theft or damage that may be caused to vehicles stayed in the parking. In this respect, Residents are advised not to leave any belongings abandoned. La Fabrica &Co shall merely and carefully comply with its security obligations and disclaims any and all liability for damage to, or loss of, the Resident ’s properties and belongings. 18. Data protection In accordance with the provisions of Regulation (EU) 2016/679 of April 27, 2016 (GDPR) and Organic Law 3/2018 of December 5 on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD), we provide you with the following information regarding data processing. The data controller is Colinsky S.L, B60760154, located at C/ Doctor Trueta, 191 – 08005 Barcelona, Spain, with the contact email conta@lafabrica-co.com. The purpose of processing is to maintain a commercial relationship and send communications about products or services. The legal basis for processing is the legal obligation of the controller and, where applicable, the consent of the data subject. Only the minimum necessary data is processed, and it is retained in compliance with legal prescription periods. Data transfers will only be made when necessary for the purpose of processing and compliance with legal obligations. The data subject has the right to access, rectify, transfer, erase, restrict, and object to the processing of their data. Assignment La Fabrica &Co has the right to assign, by any title, partially or totally, its contractual position in this Agreement or its rights and/or obligations under this Agreement, without the prior written consent of or notice to the Resident. 20. Notice Any notification from the Resident to La Fabrica &Co will be considered valid if sent via email to hola@lafabrica-co.com or via WhatsApp to the numbers +34 660 121 252 | +34 699 246 124. Similarly, La Fabrica &Co will only communicate with the Resident through the email address and phone numbers provided during the booking process. 21. Governing law and jurisdiction This Agreement shall be governed by the provisions contained herein (including the particular conditions and general conditions) agreed by the Parties and, in respect of any matters not addressed herein, by the Spanish Civil Code. In order to resolve any dispute which could arise in relation to the interpretation and/or performance of the provisions of this Agreement, both parties submit to the jurisdiction of the Courts established by the applicable law. The English version of the present document is a copy of the Spanish version, which will solely be used for informative purposes. The Spanish version is valid for all purposes.
